CSL Limited Annual Report 2022/23 62 10 CSL’s Governance Megan Clark AC BSc (Hons) PhD Age 65 Independent Non-Executive Director Director of CSL Limited since February 2016. Dr Clark has significant executive and non-executive experience across a broad range of sectors, including scientific research, health, investment banking and financial services, education and mining. Through her roles, Dr Clark brings a broad strategic perspective and global experience, with a focus on risk and proven health, safety and environment and technology performance. In 2014, Dr Clark was made a Companion of the Order of Australia for eminent service to scientific research and development. Dr Clark was chief executive of the Commonwealth Scientific and Industrial Research Organisation (CSIRO) from 2009 until November 2014. Prior to joining CSIRO, she was a director at NM Rothschild and Sons (Australia) and held senior positions at BHP, including vice president (Technology) and vice president (Health, Safety and Environment). Other directorships and offices (current and recent): – Member of MITRE Advisory Board (since December 2022); – Deputy Chancellor of Monash University (since January 2021); – Chair of the Australian Space Agency Advisory Board (since January 2021); – Member of the Global Advisory Council of the Bank of America Corporation (since December 2019); – Director of Rio Tinto Limited and Rio Tinto Plc (since November 2014); – Member of the Australian Advisory Board of the Bank of America (since July 2010); – Former Head of the Australian Space Agency (from June 2018 to December 2020); and – Former Director of Care Australia Limited (from 2015 to June 2020). Andrew Cuthbertson AO BMedSci, MBBS, PhD, FAA, FTSE, FAHMS Age 68 Non-Independent Non-Executive Director Director of CSL Limited since October 2018 and Non-Executive Director since October 2021. Professor Cuthbertson has over 35 years’ experience in medical research and biotech development with large biopharmaceutical companies and medical organisations. He also has non-executive director experience. Professor Cuthbertson joined CSL in April 1997 as the Director of Research. Prior to CSL, he was a senior scientist at Genentech Inc., a biotechnology company dedicated to pursuing groundbreaking science to discover and develop medicine for people with life-threatening diseases. After completing medical training at the University of Melbourne and a PhD in immunology at The Walter and Eliza Hall Institute of Medical Research in Australia, Professor Cuthbertson spent five years working in molecular biology research as a staff member at the Howard Florey Institute in Melbourne, Australia, and the National Institutes of Health in Maryland, United States. In 2016, he was made an Officer of the Order of Australia and appointed Enterprise Professor at the University of Melbourne.
